Terms of Service

1. Acceptance of Terms

By accessing or using the Yugy platform ("Service"), operated by Yugy LLC ("we," "us," or "Yugy"), you agree to be bound by these Terms of Service. Yugy is an online marketplace connecting customers, planners, and hosts ("Customers") with vetted service professionals ("Partners") for event services.

Partners on the Yugy platform include, but are not limited to: Photographers, Videographers, DJs, Caterers, Florists, Bartenders, Decorators, Bakers, Entertainment providers, Venues, and other event professionals.

2. The Marketplace

Yugy provides a technology platform for Customers to discover, compare, and book Partners across event categories. Yugy is not an event planning company, staffing agency, or employer of any Partner. Partners are independent businesses. Yugy facilitates the connection, communication, and transaction between Customers and Partners but is not a party to the underlying service agreement between them.

3. User Accounts

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must be at least 18 years old to use the Service. Yugy reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Bookings & Payments

Bookings made through Yugy are agreements between the Customer and the Partner. Yugy processes payments on behalf of Partners via secure third-party payment processors (e.g., Stripe). Prices displayed on Partner listings reflect the Partner's base pricing; applicable Yugy service fees are disclosed at checkout prior to payment confirmation. Refund and cancellation policies are outlined in each Partner's listing and in Yugy's cancellation policy available in the Help Center.

5. Commission & Fee Structure

Yugy charges a commission on each completed transaction to sustain and improve the platform. The commission structure is as follows:

5.1 Beta Period

During the beta period (as designated by Yugy at its sole discretion), the total platform commission is twelve point four percent (12.4%) of the transaction value, allocated as follows:

The combined 12.4% commission is collected by Yugy to cover platform operations, payment processing, customer support, trust and safety programs, and platform development.

5.2 Post-Beta Tier System

Upon conclusion of the beta period, Yugy will transition to a tiered commission structure based on Partner volume, performance metrics, and account standing. Tier details, including applicable commission rates and qualification criteria, will be published on the platform and communicated to all Partners no fewer than thirty (30) days before the transition takes effect. Yugy reserves the right to modify commission rates with thirty (30) days' prior written notice to affected users.

5.3 Payment Processing

Third-party payment processing fees (e.g., Stripe fees) are separate from and in addition to Yugy's commission. These fees are borne by the party as determined by the payment processor's terms of service.

6. Partner Obligations

Partners agree to: maintain accurate and up-to-date listings; honor all confirmed bookings; carry appropriate insurance for their service category; comply with all applicable local, state, and federal laws and regulations; respond to Customer inquiries in a timely manner; and maintain professional standards consistent with their listed qualifications. Partners acknowledge that failure to meet these obligations may result in account suspension, removal from the platform, or forfeiture of pending payouts.

7. Yugy Guarantee

If a confirmed Partner cancels within the cancellation window, Yugy will attempt to find a qualified replacement Partner. If no replacement is available, the Customer will receive a full refund of all amounts paid, including Yugy's service fee. The Yugy Guarantee is subject to the conditions and limitations described in our Help Center and does not extend to dissatisfaction with service quality absent a material breach of the booking terms.

8. Prohibited Conduct

Users may not: circumvent or attempt to circumvent Yugy's payment system; provide false, misleading, or fraudulent information; harass, threaten, or discriminate against other users; use the platform for any unlawful purpose; attempt to take transactions off-platform after being connected through Yugy; reverse-engineer or scrape the platform; create multiple accounts to evade enforcement actions; or interfere with the proper functioning of the Service.

9. Intellectual Property

The Yugy name, logo, brand elements, and platform design are the property of Yugy LLC. All rights reserved. User-submitted content (including reviews, photos, and portfolio materials) grants Yugy a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute such content on and in connection with the platform and Yugy's marketing materials.

10. Limitation of Liability

Yugy is a marketplace facilitator. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Yugy is not liable for the quality, safety, legality, or timeliness of services provided by Partners; property damage; personal injury; or any disputes between Customers and Partners beyond the scope of the Yugy Guarantee. Yugy's total aggregate liability for any claims arising out of or relating to the Service shall not exceed the total service fees paid to Yugy by the claimant for the relevant transaction(s) during the twelve (12) months preceding the claim.

11. Platform-Only Defense

Yugy is a technology platform that connects Customers with independent service professionals ("Partners"). Yugy is not a party to any service agreement between Customers and Partners. Yugy does not employ, supervise, direct, or control any Partner. Partners are independent contractors solely responsible for the performance, quality, legality, and safety of the services they provide. Nothing in these Terms creates an employment, agency, joint venture, or partnership relationship between Yugy and any Partner or between Yugy and any Customer.

12. Regulated Services & Alcohol Disclaimer

Partners providing bartending, alcohol service, food handling, or other regulated activities are solely responsible for obtaining and maintaining all required licenses, permits, and certifications applicable to their services. This includes, but is not limited to: BASSET certification (Illinois Beverage Alcohol Sellers and Servers Education and Training), liquor licenses, food handler permits, health department certifications, general liability insurance, and any other credentials required by applicable law.

Yugy makes no representations or warranties regarding any Partner's licensing status, qualifications, or compliance with applicable regulations. Customers acknowledge and agree that Yugy is not liable for any claims, damages, fines, penalties, or issues arising from regulated services performed by Partners.

With respect to alcohol-related services, Yugy does not sell, serve, distribute, or provide alcoholic beverages. Yugy is not a "provider" or "seller" of alcohol as defined under the Illinois Liquor Control Act or the Illinois Dram Shop Act (235 ILCS 5/6-21). All liability related to the service of alcohol rests solely with the Partner and/or the host of the event.

13. Service-Specific Disclaimers

Partners providing regulated, specialized, or professional services are solely responsible for compliance with all applicable laws, permits, licenses, certifications, and industry standards. Yugy is a neutral marketplace and does not provide professional advisory services.

14. Binding Arbitration & Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

You and Yugy agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Service shall be resolved exclusively through final and binding arbitration, rather than in court, except that either party may bring qualifying claims in small claims court if they meet jurisdictional requirements.

Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration shall take place in Cook County, Illinois, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: You agree that any arbitration or proceeding shall be conducted only on an individual basis, and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Yugy.

Opt-Out: You may opt out of this arbitration provision by sending written notice to yugyinfo@gmail.com within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration clause.

15. Background Checks & FCRA Compliance

By using the Service, you acknowledge and authorize Yugy (or its designated third-party providers) to obtain consumer reports and/or investigative consumer reports, including background checks, in accordance with the Fair Credit Reporting Act ("FCRA") and applicable state laws.

Partners consent to background checks and business verification as a condition of accessing and maintaining their account on the platform. Results are used solely for platform safety, trust verification, and eligibility determinations. Yugy will comply with all FCRA requirements, including providing required disclosures and obtaining necessary authorizations before procuring any consumer report.

16. Assumption of Risk

Users acknowledge and accept that there are inherent risks associated with hiring independent service professionals, including but not limited to property damage, service quality variations, scheduling conflicts, and personal injury. While Yugy provides Trust Score ratings and verification tools to assist users in evaluating Partners, Yugy does not guarantee the outcome, quality, or safety of any services performed by Partners. Users are strongly encouraged to independently verify Partners' credentials, insurance coverage, and references before booking.

17. Indemnification

You agree to indemnify, defend, and hold harmless Yugy LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you submit to the platform.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Cook County, Illinois.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

20. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Yugy regarding the use of the Service and supersede all prior agreements, representations, and understandings.

21. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or in-app notification no fewer than thirty (30) days before they take effect. Continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms.
